Rutland Partners LLP

Rutland, the UK private equity partnership acquired both Harvey & Thompson Limited, the UK’s leading pawnbroker, and a majority equity stake in Svensk Pantbelaning AB as part of a refinancing of Sweden’s leading pawnbroker. Both deals were made through Cash America International Inc. Stuart Cumberland introduced the opportunity to Rutland, and advised the MBI team during the transaction.

lastminute.com acquired The Destination Holdings Group Limited, a leading online travel provider of flights, own label package holidays and car hire for £12m. Vanessa Rush advised the vendor on the taxation aspects of the transaction and completed a pre-acquisitions s.110 demerger to remove investment properties from the group without triggering a tax charge. Stuart Cumberland conducted a valuation.

Touch Clarity

Touch Clarity, an enterprise software provider, raised $6.7m in Series A venture capital funding co-led by JVP and Alta Berkeley. Existing investor, The Capital Fund also participated in the round. Stuart Cumberland and Vanessa Rush provided financial due diligence on behalf of the investors.

The Capital Fund

The Capital Fund is a £50m venture capital fund which backs fast-growing SMEs in Greater London. Initial investments can be up to £250,000 and the fund has the ability to invest a further £250,000 after six months or more. In some circumstances, with other new investors, The Capital Fund can follow on its investments with up to £5m in total in a single company. In the last 18 months, Stuart Cumberland and Vanessa Rush have completed over 20 projects for The Capital Fund.

Perfect Information

Perfect Information, the global provider of online financial company information, entered into an agreement to acquire the Synergy Group. Synergy is a developer of historic information, charting and portfolio management systems. Stuart Cumberland and Vanessa Rush advised the vendors on the sale and completed a significant pre-acquisition reorganisation.
